Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Complylify provided by Complylify Ltd. By creating an account or using the Platform, you agree to be bound by these Terms.

1. The Service

Complylify Ltd ("Complylify", "we", "us") provides the Complylify, a cloud-based governance and compliance management system designed for UK independent healthcare providers. The Platform includes modules for audit management, incident reporting, risk registers, policy management, staff training records, feedback management, and CQC inspection preparation tools.

The Platform is available at complylify.com and any future domains associated with the service.

2. Eligibility and Account Registration

To use the Platform, you must:

  • Be a registered healthcare or social care provider operating in the United Kingdom, or act on behalf of one;
  • Be at least 18 years of age;
  • Have authority to bind your organisation to these Terms;
  • Provide accurate and complete registration information.

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@complylify.com if you suspect unauthorised access.

3. Subscription Plans and Payment

The Platform is offered on a Free tier and a Paid tier. Features available on each tier are set out in our pricing information at complylify.com/services-pricing.

  • Free tier: Available to all registered organisations at no cost. Provides access to core readiness assessment and knowledge hub features.
  • Paid tier: Unlocks full governance modules. Billed monthly or annually via Stripe. Pricing is shown at checkout.
  • Cancellation: You may cancel your subscription at any time via Settings → Billing. You will retain access until the end of the paid billing period. No refunds are provided for partial periods.
  • Taxes: Prices are exclusive of VAT. VAT will be applied at the applicable UK rate where required.

4. Acceptable Use

You must not use the Platform to:

  • Enter false, misleading, or fraudulent compliance information;
  • Attempt to access data belonging to another organisation;
  • Upload malicious code, viruses, or files designed to disrupt the service;
  • Scrape, reverse engineer, or copy the Platform's software, design, or content;
  • Circumvent any rate limiting, access controls, or security measures;
  • Resell, sublicense, or white-label the Platform without written consent from Complylify;
  • Use the Platform in any way that violates applicable UK law or regulation.

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

5. Your Data

You own your data. All compliance records, documents, and other content you create or upload to the Platform ("Customer Data") remain your property. We process Customer Data only on your instruction as described in our Privacy Policy.

You may export all your Customer Data at any time via Settings → Data Protection → Export All Data. Upon account deletion or subscription cancellation, all Customer Data will be permanently deleted within 30 days.

You warrant that you have the lawful authority to upload any personal data to the Platform, and that doing so complies with your obligations under UK GDPR.

6. Compliance Disclaimer

The Platform is a tool to support your CQC compliance activities — it is not a substitute for professional compliance advice, registered management expertise, or legal counsel. Complylify does not provide regulated legal or healthcare advisory services.

Compliance ratings, readiness scores, and evidence packs generated by the Platform are based solely on data you have entered. Complylify makes no representation that use of the Platform guarantees CQC registration, favourable inspection outcomes, or compliance with any particular regulatory standard.

7. Availability and Support

We aim to maintain the Platform's availability but do not guarantee uninterrupted or error-free access. We carry out maintenance that may cause temporary downtime; we will endeavour to give advance notice where practicable.

Support is provided via email at support@complylify.com. We aim to respond to support requests within 2 business days.

8. Intellectual Property

The Platform, including its software, design, branding, and all Complylify-authored content, is owned by Complylify Ltd or its licensors and is protected by UK and international intellectual property laws. These Terms do not grant you any rights in the Platform itself, only a limited, non-exclusive, non-transferable right to use the service during your subscription.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Complylify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
  • Our total aggregate liability to you in respect of any claim shall not exceed the total fees paid by you to Complylify in the 12 months preceding the claim.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded or limited under English law.

10. Termination

Either party may terminate the agreement at any time. We may immediately suspend or terminate your access if you breach these Terms or if we are required to do so by law.

On termination, your right to use the Platform ceases. Clauses that by nature should survive termination (including data deletion timelines, intellectual property, limitation of liability, and governing law) shall continue in force.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify account holders by email at least 14 days before changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your account before the changes take effect.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
